Welcome to Ali Arcade — an online marketplace platform that connects independent vendors (“Sellers”) with customers (“Buyers”). These Terms and Conditions (“Terms”) govern your access to and use of Ali Arcade’s website and related services (collectively, the “Services”).

By accessing or using Ali Arcade, you agree to comply with these Terms. If you do not agree, please do not use the Services.

· “Ali Arcade,” “we,” “our,” or “us” refers to the marketplace operator, Ali Arcade LLC.

· “User” means any individual or business using our Services, including Sellers and Buyers.

· “Seller” or “Vendor” refers to users who list, sell, or promote products through the platform.

· “Buyer” or “Customer” refers to users who browse, purchase, or review items.

· “Content” includes text, images, product descriptions, feedback, logos, or any materials uploaded or displayed on Ali Arcade.

2. Eligibility and Account Creation

To use our Services, you must:

· Be at least 18 years old (or of legal age in your jurisdiction).

· Provide accurate, complete, and current information during registration.

· Maintain confidentiality of your login credentials.

· Be legally authorized to act on behalf of your business (for Sellers).

Ali Arcade reserves the right to suspend or terminate accounts that provide false information or engage in fraudulent activity.

3. Marketplace Role

Ali Arcade provides a platform for Sellers and Buyers to connect and transact. We do not own, create, or directly sell products listed on the platform (unless expressly stated). Therefore:

· Sellers are independent contractors, not employees of Ali Arcade.

· Ali Arcade is not a party to transactions between Buyers and Sellers.

· Disputes between Buyers and Sellers should be resolved directly, although Ali Arcade may mediate in good faith if necessary.

4. Seller Terms

4.1 Vendor Registration

To list products, Sellers must complete the onboarding process, verify identity, and provide:

· Legal name and address

· Valid payment method for receiving payouts

4.2 Listing Rules

Sellers must ensure that:

· Product descriptions are accurate, truthful, and not misleading

· Products comply with U.S. consumer protection and safety laws

· Listings do not infringe on intellectual property rights

· No prohibited or restricted items (weapons, counterfeit goods, illegal substances) are listed

Ali Arcade reserves the right to remove listings that violate policies or laws.

4.3 Fees & Payments Policy Ali Arcade may charge Sellers certain fees for using the platform’s services. By opening a Seller account, you agree to comply with this Fees & Payments Policy as part of the Ali Arcade Terms and Conditions.

1. Types of Fees Sellers may be subject to the following fees: - Listing Fees: Listing of initial 150 products is free afterwards Ali Arcade will charge 25 cents as fee per listing products on the marketplace. Fees are charged when listings are published or renewed and are non-refundable. - Transaction Fees: When a sale is completed, a transaction fee ( 10% of the total sale price, including shipping and taxes) will be deducted automatically. - Commission Fees: Ali Arcade may collect a commission on each completed sale as disclosed in the Seller dashboard. All fees are exclusive of applicable taxes.

2. Payment Processing Ali Arcade uses secure third-party payment processors (e.g., Stripe, PayPal) for all transactions. Sellers must provide valid payment information to receive payouts. Payment delays due to inaccurate account details are the Seller’s responsibility. 3. Taxes and Compliance Sellers are responsible for reporting and paying all applicable local, state, and federal taxes related to their sales. Ali Arcade may collect and remit taxes as required under U.S. law. 4. Refunds of Fees Service fees and transaction charges are non-refundable unless otherwise mandated by law or due to verified system error. For fee-related inquiries, contact support@aliarcade.com.

4.4 Seller Obligations

Sellers must:

· Fulfill orders promptly and accurately

· Communicate professionally with Buyers

· Provide return or refund options consistent with Ali Arcade’s policy

· Maintain product quality and transparency

Ali Arcade may suspend Seller accounts for poor performance, fraudulent conduct, orpolicy violations.

4.5 Prohibited and Restricted Items

Sellers are strictly prohibited from listing, promoting, or selling items that are illegal, offensive, or inappropriate for a general audience. This includes, but is not limited to:

· Pornographic materials, obscene content, or any adult-only items.

· Sexual aids, toys, enhancement products, or any materials that depict or promote sexual acts.

· Items that promote violence, hate, discrimination, or illegal activities.

· Counterfeit, stolen, or pirated goods.

· Drugs, drug paraphernalia, or controlled substances.

· Weapons, ammunition, or explosives.

Ali Arcade reserves the right to remove any listings that violate these restrictions without prior notice and to suspend or terminate the accounts of violators.

Repeated or severe violations may result in permanent account suspension and referral to law enforcement if required under U.S. law.

5. Buyer Terms

5.1 Purchases

When you purchase an item, you agree to pay the listed price, shipping, and applicable taxes. Orders are binding once confirmed, and cancellations are subject to Seller approval.

5.2 Payment Processing

Payments are processed securely through third-party payment processors such as Stripe or PayPal. Ali Arcade does not store your payment card details.

5.3 Refunds and Returns

Each Seller sets their own refund and returns policies, displayed on their store page. Buyers should review these before purchasing. Ali Arcade may intervene in disputes if a Seller fails to honor their posted policies.

5.4 Prohibited Conduct

Buyers may not:

· Engage in fraudulent transactions or chargebacks

· Post false reviews or defamatory comments

· Attempt to manipulate ratings or pricing

· Circumvent Ali Arcade’s payment or communication systems

6. Prohibited Activities

Users of Ali Arcade must not:

· Upload harmful software, viruses, or bots

· Impersonate other users or Ali Arcade staff

· Use the platform for illegal or unethical purposes

· Infringe on intellectual property or personal rights of others

· Harvest data or use automated tools to scrape content

Violation may result in account termination or legal action.

7. Intellectual Property Rights

All intellectual property related to the Ali Arcade brand — including logos, trademarks, and software — remains the property of Ali Arcade LLC. Users retain ownership of their content but grant Ali Arcade a non-exclusive, worldwide, royalty-free license to display, distribute, and promote their listings.

8. Disputes and Resolution

8.1 Between Buyer and Seller

Buyers and Sellers are expected to resolve issues directly through communication. If no resolution is reached, Ali Arcade may mediate and make a final decision at its discretion.

8.2 Between User and Ali Arcade

If you have a dispute with Ali Arcade:

· Contact support@aliarcade.com to attempt resolution.

· If unresolved, both parties agree to binding arbitration under the rules of the American Arbitration Association (AAA) in the State of New Jersey.

Each party waives the right to a jury trial or class action unless prohibited by law.

9. Limitation of Liability

Ali Arcade is not responsible for:

· Product quality, safety, legality, or authenticity

· Losses arising from user interactions or third-party services

· Indirect, incidental, or consequential damages

Our total liability shall not exceed the total amount paid to us in the past 12 months for the specific service related to the claim.

10. Privacy and Data Protection

Ali Arcade collects personal information such as names, contact details, billing information, and browsing data to provide marketplace services.

Vendor data (e.g., business names, payment details) is collected for account management, analytics, and compliance.

We never sell personal information to third parties.

Data may be shared with payment processors, logistics providers, or law enforcement when required.

10. Termination

Ali Arcade may suspend or terminate your account if you:

· Violate these Terms or other platform policies

· Engage in fraudulent or harmful conduct

· Fail to pay due fees or resolve disputes in good faith You may also close your account anytime by contacting support@aliarcade.com Upon termination, your right to use the Services ends immediately.

11. Governing Law

These Terms are governed by the laws of the United States and the New Jersy without regard to conflict of law principles. Users agree to submit to the exclusive jurisdiction of courts in that state for any non-arbitrable disputes.

Ali Arcade may modify these Terms periodically to reflect business or legal changes.

Updated Terms will be posted with a new “Effective Date.” Continued use of the platform after modifications constitutes your acceptance.
